As previously announced on October 6, 2017, the Company, Cooke and Alpha MergerSub, Inc., a wholly owned subsidiary of Cooke ("Merger Sub") entered into an Agreement and Plan of Merger (the "Merger Agreement") pursuant to which, upon the terms and subject to the conditions set forth therein, Merger Sub will merge with and into the Company, with the Company continuing as the surviving entity and a wholly owned subsidiary of Cooke. Under the terms of the Merger Agreement, each issued and outstanding share of common stock of the Company will be converted into the right to receive $22.00 in cash.
